1. Who this agreement is with, and acceptance
This agreement is between you and PRENEOR ENTERPRISE LIMITED, RC 9629003, No 8, Abiodun Adelusi Road, Ekute, Ekiti State, Nigeria (“Preneor”, “we”, “us”). It covers the TrueCost desktop software, including any edition, update and measurement library we supply with it (“TrueCost”).
By ticking the agreement box, downloading, installing, activating or using TrueCost, you accept this agreement. If you do not accept it, do not download, install or use TrueCost. If you accept for a company, school or other organisation, you confirm that you have authority to bind it, and “you” includes that organisation.
This agreement is read together with our Terms and Conditions, Delivery Policy, Refund and Return Policy and Privacy Policy. If this agreement conflicts with the Terms and Conditions about how the software may be used, this agreement applies.
2. Licence grant
TrueCost is a free download. A licence starts only when you buy it, payment is confirmed and verified, and the software is activated on your device. From activation, Preneor grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the edition you bought, for the duration shown when you bought it, for your own lawful measurement, quantification and BOQ work.
TrueCost is licensed to you, not sold to you. Preneor and its licensors keep all rights in TrueCost that this agreement does not expressly give you.
Before activation, TrueCost has no features. None of its functions can be used until a licence is activated.
3. One device per licence
Each licence works on one device only. It is tied to the computer on which you activate it, using a device identifier, and you cannot change it or move it to another device. It will not activate on a second device from the same purchase.
If you bought a team licence for several computers, each computer needs its own activation, and each activation is tied to the computer on which it is made.
Install, buy and complete activation on the computer you intend to keep using. If a device is lost, stolen or fails permanently, contact support. We are not obliged to move or replace a licence, but we may consider doing so at our discretion after verifying your purchase.
You must not use virtual machines, remote desktop, screen sharing or similar means to let more people or computers use TrueCost than your licence covers.
4. Licence duration and expiry
A licence either lasts for the number of months shown when you bought it, counted from activation, or is a one-off licence that does not expire. You need an internet connection once to buy and activate. After activation, TrueCost works offline on that device.
As a timed licence approaches its end, TrueCost will ask you to renew it. When it ends, activation ends and you can no longer use the licensed features. Anything you have already exported, such as PDF or Excel reports, stays with you. Work you have not yet exported stays locked in TrueCost until you renew or upgrade.
5. School (Edu) licences
School (Edu) licences are priced for schools and other educational institutions.
6. What you must not do
You must not, and must not let anyone else:
- copy, resell, rent, lend, publicly distribute or sublicense TrueCost, or share licence credentials or activation details;
- use one licence on more than one device, or use TrueCost on more computers or by more people than your licence covers;
- decompile TrueCost, except to the extent applicable law allows despite this restriction;
- tamper with activation, licence checks or other protection measures;
- modify TrueCost or build products from it, except as law permits;
- remove or change copyright, trademark or other ownership notices;
- copy or distribute the measurement libraries or standard descriptions supplied with TrueCost as a separate product or database;
- use TrueCost to break the law, to infringe anyone’s rights, or to attack or overload our systems or anyone else’s.
7. Your projects and outputs
You keep ownership of your drawings, project data, measurements, BOQs and reports (“your materials”). You are responsible for making sure you have the rights and permissions to use the drawings and data you load into TrueCost. TrueCost stores your project files on your own device. We do not need a copy of them to run TrueCost, and we will access them only if you send them to us, for example for support.
Standard descriptions and library content supplied with TrueCost remain the property of Preneor or its licensors. You may include them in the BOQs and reports you prepare for your own work and your clients’ projects.
8. Professional judgement and checking results
TrueCost does not replace professional judgement or measurement rules. It supports measurement, quantification and BOQ preparation. It does not replace site inspection, checking of drawings, current rates, or review by a suitably qualified person.
You are responsible for checking dimensions, descriptions, quantities, assumptions, rates and reports before relying on them for tendering, procurement, contracts or construction decisions. We do not guarantee that any estimate or report will be complete, error-free or match a project’s final cost, or that any tender or project will succeed.
9. Updates and support
We may provide updates, fixes and new libraries from time to time. We are not required to provide any particular update. A new edition or major version may need a separate licence, and we will say so when it is offered. We will give reasonable help with activation, payment and technical problems during your licence period. Contact details are in section 17.
10. Third-party content and standards
TrueCost’s standard descriptions are based on the NIQS Building Elements and Standard Method of Measurement (BESMM4). The Nigerian Institute of Quantity Surveyors (NIQS) is not a party to this agreement and does not endorse TrueCost unless it says so in writing.
TrueCost may include third-party and open-source components. Those components are licensed to you under their own licences, which apply to them in place of this agreement to the extent they require.
11. Activation, licence data and privacy
When you activate, TrueCost sends a device identifier and your payment reference to our servers so that we can tie the licence to the device and check that payment was made. TrueCost also checks for refreshed prices when it is online. When you accept this agreement, we may record the version accepted and the date and time. Our Privacy Policy explains how we handle personal information.
12. Ending this agreement
This agreement applies for as long as you have a valid licence or keep using TrueCost. You may stop at any time by uninstalling TrueCost; refunds are handled under our Refund and Return Policy.
We may suspend or end your licence if you materially break this agreement, for example by bypassing activation, sharing your licence, or using TrueCost unlawfully, or where reasonably necessary to deal with fraud or a security risk. Where it is reasonable and possible, we will tell you why and give you a chance to put things right first. If we end your licence under this section, you must stop using TrueCost and uninstall it. Sections that by their nature should continue, including sections 6, 7, 8, 13, 14 and 16, will continue.
13. Warranty
We will provide TrueCost with reasonable care and skill, and as described on our website for the edition you bought. Except for that, and to the extent permitted by law, TrueCost is supplied “as is”, and we do not promise that it will be uninterrupted, error-free or suitable for your particular purpose. Nothing in this agreement removes a right you have under law that cannot lawfully be excluded, including consumer rights.
14. Limit of liability
To the extent permitted by law, Preneor is not responsible for indirect or consequential loss, loss of profit, loss of business or contracts, or loss arising from inaccurate inputs, unverified outputs, misuse of TrueCost or events beyond our reasonable control.
Our total liability to you for all claims arising out of or in connection with TrueCost and this agreement will never be more than the amount you paid for the licence to which the claim relates.
15. Changes to this agreement
We may update this agreement to reflect changes in TrueCost, the law or how we operate. The version number and date are shown at the end of the agreement. If a change materially affects an existing paid licence, we aim to give you at least 14 days’ notice where practicable and where required by law, and the new version will apply to the licence from the date given in the notice. New versions apply to new downloads and activations from the date they are published.
16. Governing law and disputes
This agreement is governed by the laws of the Federal Republic of Nigeria, subject to any mandatory legal protections that apply to you. Please contact us first so we can try to resolve a problem informally. We aim to acknowledge complaints within five business days. If a dispute cannot be resolved informally, the courts of Nigeria have jurisdiction, and nothing here stops you from using a legal remedy available to you.
17. General and contact
This agreement, together with the documents listed in section 1, is the whole agreement between you and Preneor about TrueCost and replaces any earlier understanding about it. If any part of it is found unenforceable, the rest continues to apply. If we do not enforce a right straight away, we do not give it up. You may not transfer this agreement or your licence without our written consent; we may transfer our rights and obligations to a successor of our business.
